Denis advises clients on transactions and projects falling within the category of special situations. His practice covers complex cross-border disputes, corporate restructuring, and transactional support.

Denis’s representative matters include:

• Representing a client before the High Court of England and Wales in connection with the bad-faith assertion of claims aimed at obtaining control over a substantial shareholding in a leading Russian sector company.
• Representing a Russian company in proceedings before the United States District Court for the Southern District of New York.
• Advising international clients on compliance matters.

Denis has experience in advising on complex business restructurings, including the restructuring of international holding structures, as well as on mergers and acquisitions, the establishment of joint ventures in the retail and information technology sectors, and projects in the extractive and processing industries.

Denis’s transactional experience includes:

• Advising on the sale of a Russian business by an international group comprising some of the world’s largest online retailers of clothing and accessories, with operations across four continents.
• Advising a major Russian metallurgical company in connection with the sale of a shareholding in an English publicly listed holding company owning mining assets in Russia.
• Structuring and advising on the acquisition by a major Russian port of another port asset, taking into account the applicable regulatory requirements and restrictions.
• Advising a major US media company listed on NASDAQ on its exit from the Russian market and the termination of its joint venture with a Russian partner.

Denis graduated with both a bachelor’s degree and a master’s degree from Lomonosov Moscow State University.

He is admitted to the Moscow Bar Association.
