Maxim Mozgov and Maxim Rasputin Spoke at a seminar on Corporate Transactions: Current Legal and Practical Issues

Today Moscow hosted the Corporate Transactions: Current Legal and Practical Issues seminar organized by M-Logos law institute. Maxim Mozgov, Attorney-At-Law at EPAM, and Maxim Rasputin, the Firm’s Lawyer, spoke at the seminar.

The event brought together lawyers from both Russian and international law firms dealing with corporate law and advising on corporate transactions.

The seminar participants discussed current problems in executing and performing deals involving shares and participation interests, shareholders agreements and LLC members agreements as well as other pressing issues in the application of law and practical experience of structuring corporate transactions.

Maxim Mozgov delivered a report titled “Current Practical Issues in Due Diligence Exercise” focusing on practical matters of legal due diligence in transactions involving shares and participation interests, including tips on due diligence optimization, criteria for information to be requested, and possible use of due diligence results to determine the expediency of a transaction.

Maxim Rasputin delivered two reports titled “Shareholders Agreements and LLC Member Agreements” and “Practical Issues in Drafting Share Purchase Agreements and Participation Interest Purchase Agreements". The first report featured an analysis of both standard and untypical terms and conditions incorporated in agreements, information about implications of inconsistency of contractual terms with Russian corporate laws, and details of disputing transactions entered into in breach of shareholders agreement or an LLC members agreement. In his second report Maxim analyzed basic terms and conditions of share purchase agreements and participation interest purchase agreements, demonstrated practical problems in notarization of transactions, the timing particulars in the exercise of rights under an option agreement and the defense of parties’ rights when an agreement is breached.
