EPAM advised on the Russian aspects of the USD550m acquisition of Tensar – a portfolio company of Castle Harlan Inc.'s funds, and the world-leader in the manufacture and supply of retaining walls, ground stabilisation and soil reinforcement solutions across 80 national markets – by Commercial Metals Company, US steel and metal manufacturer. The transaction was multi-jurisdictional and included Tensar companies in the US, Europe, China, Russia.
The support of Firm’s attorneys included, in particular, complex legal due diligence of Tensar subsidiary in Russia that is a manufacturing company holding significant operations of Tensar Group, as well as advising the client on regulatory issues. The acquisition has been conducted through a bidding process.
Work on this project is important to the development of the global transportation, infrastructure and construction markets.
