Tatyana Boyko specialises in corporate, general contract and competition law issues. Her experience in corporate law includes advising on M&A transactions, corporate governance matters, corporate disputes, squeeze-outs and mandatory offers, as well as incorporation of holding structures and drafting legal due diligence reports.
Her recent experience in this area includes involvement in the following projects:
- Providing legal support for the acquisition of a block of shares in Tele 2 Russia by a consortium of investors.
- Advising one of the leading Russian oil and gas companies on complicated issues of corporate governance, including compliance to corporate procedures, related party transactions, etc.
- Advising an oil company on resolving the conflict related to a squeeze-out of preferred shareholders.
- Providing legal support for a squeeze-out procedure of a leading pulp and paper company.
- Advising a well-known investment company on the risks related to its governance by a managing company.
- Finalizing the draft corporate agreement between the partners of the joint venture, a group of communication agencies operating in the CIS markets, developed under Russian law, in order to further protect the interests of the client.
Tatyana takes an active part in the reform of the Civil Code of the Russian Federation, working in the team of Dmitry Stepanov and participating in working groups within the framework of the Corporate Legislation Experts Association, as well as in other working groups on improving corporate legislation.
Prior to joining the Bureau, Tatyana worked in the Federal Antimonopoly Service and in one of the Russian law firms. Tatyana graduated from the Law School of the State University Higher School of Economics in 2007. Tatyana holds a Master’s degree in law, cum laude, from the Russian School of Private Law, obtained in 2010. In 2017, she completed her post-graduate studies at the Institute of Legislation and Comparative Law under the Government of the Russian Federation and obtained her Ph.D. in 2018.
Tatyana is a member of the Moscow Bar Association.
