Kirill Nagorsky specialises in advising clients and counselling on transactions related to regulatory clearance under the Competition Protection Law, foreign investment laws and Russian Presidential Decrees. He has extensive experience in obtaining clearance for transactions involving Russian and non-Russian companies: M&A, joint venture and non-compete agreements.
He also advises and represents clients in antimonopoly proceedings at the antitrust investigation and the trial stages (more specifically, as related to abuse of dominant position, inclusion into the Suppliers’ Blacklist, etc.) and advises clients on business law as related to supply, service and distribution agreements, as well as regulation of natural monopolists’ operations.
Kirill’s recent highlights include:
- Obtaining clearance from the Governmental Commission for Strategic Investment and the FAS Russia for the purchase of a chemical manufacturer by an international private investment firm.
- Representing a client before the Russian Ministry of Digital Development, Communications and Mass Media and Governmental Commission’s Subcommission and development of a strategy to obtain clearance from the FAS Russia for a transaction involving the restructuring of the company’s business.
- Obtaining clearance from the Governmental Commission’s subcommission and the Russian Ministry of Finance for the sale of one of the largest Russian production companies, as well as obtaining clearance for the early repayment of the intragroup loan, including future interest.
- Representing a client before the FAS Russia as related to the purchase of the Russian portion of an international paper manufacturing business by the company executives.
- Representing a European pharmaceutical group before the Russian Ministry of Industry and Trade and the Governmental Commission’s subcommission as related to obtaining clearance of an intragroup transaction. The team developed a case on inapplicability of the terms and conditions of transactions approved by the subcommittee to intragroup transactions and defended it before the executive authorities, which made it possible to enter into the transaction with no such terms and conditions.
- Promptly obtaining unconditional clearance obtainment from the FAS Russia for the acquisition of an international tea manufacturer’s assets by the client. Formulation of a case on the admissibility of the acquisition as it would promote competition in the tea market.
- Obtaining the FAS of Russia’s clearance of a transaction between two competitors in the agricultural products market.
Kirill was engaged in drafting amendments to federal laws as related to foreign investments in strategic industries and “antimonopoly compliance”. Kirill also participated in amending a list of legal grounds aimed at mitigating antitrust liability.
Kirill graduated from the National Research University Higher School of Economics, where he earned his master’s degree as a corporate lawyer, and from Paris 1 Panthéon-Sorbonne where earned his LL.M. in Business Law. He has authored a number of academic pieces on the application of antitrust laws for academic periodicals.
Kirill has been admitted to the Moscow Bar.
