Business Breakfast 'The Intellectual Property Clause in Commercial Contracts'

EPAM invites you to attend a business breakfast on the intellectual property clause in commercial contracts. The event will be held on 24 March (Thursday) from 10:00 to 13:30 at the Firm’s St. Petersburg office.

Parties to civil law transactions face a practical need to include conditions for the transfer and use of exclusive intellectual property rights in the body of a contract.

In cases where the intellectual property is the subject of the contract itself (e.g. a contract of assignment or a licence agreement), the parties tend to engage intellectual property lawyers to prepare these contracts to ensure that the issue is properly addressed.

When it comes to contracts on subjects that are not IP-related (e.g. contracts for labour or services) however, the need to define and differentiate rights to intellectual property still arises frequently. The stipulations which govern these issues can be called an intellectual property clause.

What does the phrase “all intellectual property rights belong to the customer” mean in a standard form contract? Would that be sufficient for you as a customer? Or, on the contrary, would this be too risky for you as a contractor? At this event, we will look at the contractual relations that require this sort of clause and discuss the most suitable wording for it.

Seasoned experts will also share their experience of negotiating intellectual property issues in some specific business areas, including real estate and construction and international trade.
