EPAM advised on the M&A transaction between Tamerlan company, Pokupochka and PokupAlko convenience store chain operating in the Southern Federal District and Stavropol Territory and X5 Group, the Russia’s biggest food retailer.
The joint team of EPAM M&A and Corporate Law, Competition Law practices assisted in the sale of a Russian subsidiary of one of the world leaders in the supply of technologies and equipment to the Russian management, allowing it to maintain the uninterrupted operation of business in Russia.
Legal support included advising on the transaction structure, preparation of a package of transaction documents, as well as assistance with signing and closing the deal. Along with a tailored share transfer agreement and related documentation, additional legal instruments were utilised, such as option rights and rights of first refusal, restrictive covenants and guarantee instruments.

EPAM provided comprehensive legal support on the Russian legal aspects of a cross-border M&A transaction between TAQA, the National Energy Company of Abu Dhabi (UAE), and Tendeka, the leading British engineering company present in the US, the UK, China, Australia, Canada, the UAE, Malaysia and the EU.
EPAM advised on the Russian aspects of the USD550m acquisition of Tensar – a portfolio company of Castle Harlan Inc.'s funds, and the world-leader in the manufacture and supply of retaining walls, ground stabilisation and soil reinforcement solutions across 80 national markets – by Commercial Metals Company, US steel and metal manufacturer. The transaction was multi-jurisdictional and included Tensar companies in the US, Europe, China, Russia.
EPAM assisted Vivira (the German Medtech company, specialising in the development of software for digital healthcare) in concluding an agreement with Russian developers.
According to the European rules and case law, if the distribution right to the copy of a software program has been exhausted, the original purchaser can sell the software to a third party, whereas the creator of the software cannot prevent such a sale.
EPAM represented French Groupe BRIAND in its acquisition of the Russian subsidiary Astron from Swedish Lindab Group as part of a cross-border transaction. Groupe BRIAND acquired from Lindab Group companies and assets in the Czech Republic, France, Germany, Hungary, Luxembourg, Poland and Russia.
EPAM lawyers advised on an international M&A transaction under English law involving the sale of a publisher of Pixel Gun 3D, the third most popular mobile first-person shooter game in terms of monthly players, for a total consideration of USD 70m.
